SeekJazz Ventures Limited, along with its affiliates ("we," "our," or "us"), provides software services through the Pluswallet.app website, as well as related mobile applications and products (referred to as the "Services" or "Plus Wallet App"). Before utilizing our Services, it is important to thoroughly read and understand the Terms of Service (referred to as the "Terms"), in conjunction with any additional policies or notices found on our website or mobile applications.

Agreement to Terms
By accessing or using any of the Services, you explicitly acknowledge the following:
You have read and comprehended these Terms.
You consent to be bound by these Terms.
You possess the legal competence necessary to enter into these Terms.
If you do not agree to be bound by these Terms, including any future updates or modifications, you may not access or use our Services. Kindly note that we do not offer investment or financial advice, nor do we provide consulting services. Our sole purpose is to provide Plus Wallet App, and we do not offer advice or recommendations regarding digital asset transactions or operations. Decisions pertaining to engaging in digital asset transactions or operations should be made independently.

Privacy Policy
To understand how we collect, use, and disclose information from our users, please refer to our Privacy Policy, accessible at https://pluswallet.app/privacy-policy. By utilizing our Services, you acknowledge and agree that your use is subject to our collection, use, and disclosure of information, including any personal data you provide, in accordance with our Privacy Policy.

Updates to Terms or Services
We reserve the right to update or modify these Terms at our sole discretion. In the event of such changes, we will notify you by posting the revised Terms on our website, mobile application, or through other reasonable communication methods. The revised Terms will become effective immediately unless otherwise specified. It is your responsibility to regularly review our website for any modifications and determine whether to accept the revised version of the Terms. By continuing to use Plus Wallet App after any update or modification of the Terms, you will be considered to have accepted the revised Terms. If you do not agree to the Terms or any updated version, you must cease accessing or using our Services. Please be aware that our Services may be altered or discontinued, in whole or in part, at any time and without prior notice, at our discretion.

Eligibility
To utilize Plus Wallet App, you must:
Be at least eighteen (18) years old and possess the legal competence to enter into these Terms.
Not be a resident of sanctioned jurisdictions as per trade embargoes, UN Security Council Resolutions ("UNSCR"), or HM Treasury's financial sanctions regime. Not currently be subjected to economic sanctions, such as those listed in the United Nations Security Council Sanctions List, the list of specially designated nationals maintained by OFAC, the denied persons or entity list of the U.S. Department of Commerce, or any similar list maintained by other relevant sanctions authorities. If you are utilizing our Services on behalf of a legal entity, you further declare and warrant that:
The legal entity is duly organized and validly existing under the applicable laws of its jurisdiction.
You are duly authorized by said legal entity to act on its behalf.
You may only use our Services if permitted by the laws of your jurisdiction. If your use of our Services would be illegal or in violation of any applicable laws in your state, country, territory, or other jurisdiction, you may not use our Services. It is your responsibility to ensure that these Terms comply with all laws, rules, and regulations applicable to you. By using Plus Wallet App, you represent and warrant that you meet all the eligibility requirements specified in these Terms. However, we retain the right to refuse access or use of Plus Wallet App to certain individuals, and we may modify our eligibility criteria at any time.

Services
Plus Wallet App is a Crypto wallet software designed for digital assets, including cryptocurrencies, virtual commodities, and NFTs (referred to as "Digital Assets"). As a user, you bear sole responsibility for your Digital Assets and private keys, and you have the authority to authorize transactions from your wallet address. You acknowledge and agree to the following:
Plus Wallet App is a Crypto wallet software, and you are solely responsible for your activity and the risk of any potential loss at all times. Plus Wallet App allows you to:
Generate wallet addresses and associated private keys for sending and receiving digital assets.
Access third-party decentralized applications ("DApps") and decentralized exchanges ("DEX") through the mobile application's web browser.
Swap/trade digital assets through DApp functionality provided by third-party service providers.
Stake certain digital assets in a third-party 'proof of stake' network through staking services ("Staking Service").
View digital asset price information provided by third-party service providers.
Broadcast Digital Asset Transaction data to various blockchains supported by Plus Wallet App without requiring you to download or install the associated blockchain-based software on your device. Wallet Address, Private Key, and Backup Capabilities
You have the option to store an encrypted backup of specific information associated with your wallet on eligible devices. The private key is linked to the wallet address and authorizes the transfer of Digital Assets to and from that address. It is your responsibility to securely retain and safeguard your private key and any mnemonic phrase ("Secret Phrase") associated with your wallet. You must ensure the security of your wallet address, Secret Phrase, and private key access information. Failure to do so may result in the loss of control over Digital Assets associated with your wallet. We do not receive or store your wallet password, encrypted private key, unencrypted private key, or Secret Phrase associated with your wallet. We are unable to generate a new password for your wallet if you forget your original one. If you have not safely stored a backup of any wallet address and private key pairs in your wallet, you accept that any Digital Assets associated with that wallet address may become inaccessible. We disclaim any responsibility or liability if you are unable to access your wallet for any reason, including your failure to maintain the security of your wallet address, Secret Phrase, and private key information.

Use of DApps and DEX
When utilizing DApps or DEX, including the DApp functionality embedded within the Services, such as the Trade/Swap Digital Assets feature, you acknowledge and agree to the following:
Plus Wallet App is not accountable for your access to or usage of DApps or DEX and shall not be liable for any transactions you dispute in connection with DApps or DEX.
The maximum amounts that you may exchange via DEX per day are subject to the requirements of third-party developed Smart Contracts.
Blockchain operations are irreversible. Thus, you bear sole responsibility for the consequences of any issues associated with transactions conducted via DApps or DEX, including instances of transfers to incorrect addresses or problems related to the node servers you select.
When using DApps or DEX, third-party developed Smart Contracts may impose handling fees and/or service fees. Any fee information displayed on Plus Wallet App regarding such fees is provided for reference only, and we do not guarantee its accuracy, applicability, reliability, integrity, or appropriateness. Plus Wallet App shall not be liable for any loss or damage caused directly or indirectly by your use of such content. Presently, Plus Wallet App does not charge service fees or handling fees for using DApps or DEX. However, we reserve the right to introduce such fees at our discretion in the future. Any updated fees will be applicable to transactions occurring after the effective date of the updated fees.

Use of Staking Service
When utilizing the Staking Service, a third party may stake certain Digital Assets on your behalf (referred to as "Staked Digital Assets"), acting as a transaction validator on the relevant blockchain network. Plus Wallet App is not responsible for:
Your use of the Staking Service and shall not be liable in connection with your use of the Staking Service.
Ensuring continuous staking or guaranteeing the staking of any particular Digital Asset.
You acknowledge and agree to the following:
Plus Wallet App is not responsible for your use of such third-party services and shall not be liable in connection with your use of such services.
You will be subject to any terms and conditions imposed by the relevant third-party service provider.
Plus Wallet App does not have the ability to change, withdraw, or cancel any conversion requests you initiate.
Plus Wallet App is not responsible for any exchange rates offered by the relevant third-party service provider(s).

Digital Asset Transactions
In order for proposed Digital Asset transactions to be completed, they must be confirmed and recorded on the associated public blockchain of the relevant Digital Asset. We do not own, control, or operate the blockchain networks that support these transactions. Therefore, we do not guarantee that any transaction details you submit via our Services will be confirmed and processed. You acknowledge and agree to the following:
We do not possess the ability to cancel or modify your transaction. The transaction details you submit may not be completed or may experience significant delays on the applicable blockchain networks.
We do not store, send, or receive Digital Assets. Any transfer of Digital Assets occurs on the relevant blockchain network and not on a network owned by us. Therefore, we do not guarantee the transfer of title or right in any Digital Asset. Accuracy of Information Provided by User
You declare and warrant that any information you provide via the Services is accurate and complete. We are not responsible for any errors or omissions made by you in connection with any Digital Asset transaction initiated via the Services. We strongly advise you to review your transaction details carefully before attempting to transfer a Digital Asset.

Wallet Registration and Security
To utilize Plus Wallet App, you must either import an existing wallet or create a new one. When creating a wallet, a private key will be assigned to you. You agree to immediately notify us of any unauthorized use of your private key or any other breach of wallet security. However, you acknowledge and agree that you assume all risks related to the use of the Services, and you are solely responsible for maintaining the confidentiality and security of your private key. When creating a wallet, we strongly recommend taking precautions to avoid losing access to or control over your wallet. These precautions may include:
Creating a strong, unique password different from your other passwords.
Avoiding storing the private key and Secret Phrase in plain text online or in an unsecured physical location.
Limiting access to your devices and wallet.
Taking necessary precautions against malware on your devices and networks.
Promptly notifying us of any security breaches related to your wallet.
Notwithstanding the above, we shall have no liability whatsoever in connection with activities that occur on your wallet with or without your authorization.

Push Notifications
You have the option to receive push notifications from Plus Wallet App. These notifications will alert you when blockchain networks supported by Plus Wallet App experience congestion and when transactions involving your wallet are completed. To receive push notifications, you must opt in to the service by accessing "Settings" and enabling "Push Notifications."

Payment and Fees
Fees applicable to the Services, if any, will be specified on Pluswallet.app and/or the Plus Wallet mobile application.

Transaction Fees
Virtual currency transactions may be subject to transaction fees (e.g., mining fees) imposed by the relevant virtual currency system or blockchain network. It is your responsibility to ensure that you have a sufficient balance in your wallet and/or adequate "gas" to complete transactions. We will not be liable for any failed transactions or losses you incur due to incorrectly set transaction fees or insufficient funds or gas associated with your wallet address. We do not have access to your transactions or those of other users.

Taxes
Determining the applicability of taxes to the transactions you initiate via the Services and reporting and remitting the correct taxes to the appropriate tax authority are your responsibility. We are not responsible for determining whether taxes apply to your transactions or for collecting, reporting, withholding, or remitting any taxes arising from Digital Asset-related transactions.

Third-Party Services and Content
References to third-party products or services (including hyperlinks) should not be construed as endorsements or promotions of such third-party products or services by us. We retain the exclusive right to add, modify, or cancel the availability of any third-party service. If you agree to receive push notifications from Third-Party Content providers, please note that we do not control, endorse, or adopt any Third-Party Content shared through push notifications. We assume no responsibility for Third-Party Content, including token availability and/or sales. If you grant a third party permission to access or connect to your Plus Wallet App account, you acknowledge that granting permission does not relieve you of any responsibilities under these Terms. You are fully responsible for all acts or omissions of any third party with access to your wallet.

Intellectual Property
License Subject to your agreement with and compliance with these Terms, we grant you a non-exclusive, non-sublicensable, and non-transferable license to use Plus Wallet App solely for personal or internal business use. Except as expressly permitted in these Terms, you may not:
Reproduce, modify, adapt, or create derivative works of any part of Plus Wallet App.
Rent, lease, distribute, sell, sublicense, transfer, or provide access to Plus Wallet.
Use Plus Wallet App for the benefit of any third party.
Incorporate Plus Wallet App into a product or service provided to a third party without our prior written consent.
Circumvent mechanisms in Plus Wallet App intended to limit your use.
Reverse engineer, disassemble, decompile, translate, or seek to obtain or derive the source code underlying Plus Wallet App, except as expressly permitted by applicable law (with advance notice to us).
Remove or obscure any proprietary or other notices contained in Plus Wallet.
Use Plus Wallet for competitive analysis, as part of any other software or project, or to build competitive products.
Feedback
You may choose to submit feedback to us. By doing so, you grant us a license to freely use, copy, disclose, license, distribute, and exploit the feedback in any manner without any obligation, royalty, or restriction based on intellectual property rights. No feedback will be considered your Confidential Information, and nothing in this Agreement limits our right to independently use, develop, evaluate, or market products or services incorporating the feedback.

Open Source
Plus Wallet App was developed under a GPL open source license. Since software development is community-based, anyone can access, use, and share the software, in modified or unmodified form. Please note that GPL is a copyleft license, and any derived work must also be licensed under GPL.

Ownership
We, our licensors, or our affiliates retain all rights, title, and interest in and to Plus Wallet App, including any improvements, modifications, or derivative works thereof. Except as expressly stated in these Terms, nothing in these Terms grants you any right, title, or interest in or to Plus Wallet App or any of our intellectual property rights.

Disclaimer of Warranties
Plus Wallet App is provided "as is," without warranty of any kind. We do not make any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that Plus Wallet App will meet your requirements, be error-free, or operate without interruption.

Limitation of Liabilitys
To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for lost profits, lost data, or business interruption, arising out of or in connection with these Terms or your use of or inability to use Plus Wallet App, even if we have been advised of the possibility of such damages. Our total aggregate liability arising out of or in connection with these Terms or your use of or inability to use Plus Wallet App shall not exceed the amount of fifty dollars ($50 USD).

Indemnification
You agree to indemnify and hold us, our affiliates, officers, directors, employees, agents, and licensors harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with:

Your access to or use of Plus Wallet App.
Your violation of these Terms.
Your violation of any applicable laws, rules, or regulations.
Your infringement of any intellectual property or other rights of any third party.
Any unauthorized access to or use of your wallet.

Termination
We may terminate your access to Plus Wallet App or suspend your Plus Wallet App account immediately, without prior notice or liability, for any reason whatsoever, including but not limited to a breach of these Terms. Upon termination, your right to use Plus Wallet App will cease immediately.

Governing Law and Dispute Resolution
These Terms and any dispute arising out of or in connection with these Terms or Plus Wallet App shall be governed by and construed in accordance with the laws of Seychelles. Entire Agreement
These Terms constitute the entire agreement between you and SEEKJAZZ VENTURES LIMITED with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the subject matter hereof.

Severability
If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole but shall render the provision at issue unenforceable or invalid to the extent of the unenforceability or invalidity.
